B2B & Customised Orders Policy

At Kosh Club, we craft bags that help brands Carry their legacy. As a trusted B2B bag manufacturer and supplier in India, we work closely with businesses, institutions, and retailers to develop high-quality, functional, and customised bag solutions that reflect their identity, purpose, and values.

This policy outlines our approach to customised sample development, bulk manufacturing, payment terms, and collaboration process, ensuring transparency and clarity at every stage of working with us.

1. Scope of B2B Services

Kosh Club offers end-to-end B2B manufacturing solutions, including

• Corporate gifting bags
• Bulk institutional orders (schools, colleges, offices)
• Custom-designed backpacks, laptop bags, duffels, totes, and utility bags
• Logo branding and personalisation
• Private labelling for retailers and distributors

All B2B services are subject to feasibility, design approval, and minimum order quantities (MOQs).

2. CUSTOMISED SAMPLE REQUESTS & DESIGN FLEXIBILITY

We understand that design precision is critical for business clients. To support this, Kosh Club offers complete flexibility in customised sample development.

Samples can be created based on:

• Designs selected from our existing product catalogue, or
• Fully custom designs provided by the client, tailored to specific requirements such as:
  • Material grade
  • Colour palette
  • Stitching and construction quality
  • Durability standards
  • Size and compartment structure
  • Target price range

Each sample is produced using the same manufacturing processes, materials, and quality benchmarks as bulk production, ensuring an accurate representation of the final product.

3. Sample Charges & Cost Policy

• All customised samples are fully chargeable, regardless of whether a bulk order follows.
• Sample charges are communicated upfront and must be paid in full before production begins.
• Sample costs are not adjusted or refunded against future bulk orders unless explicitly agreed in writing.

This approach allows clients complete creative freedom without minimum commitments while maintaining a transparent and fair process.

4. SAMPLE PRODUCTION & PAYMENT TERMS

• Custom sample production begins only after full payment for the sample is received.
• Once payment is confirmed, the design and production timeline is mutually agreed upon.
• Minor variations may occur between sample and bulk production due to scaling, which is considered standard industry practice.

5. BULK ORDER CONFIRMATION & MOQ

• Bulk production is initiated only after:
  • Final design approval (written confirmation)
  • Quantity finalisation
  • Payment of the agreed advance
• Minimum Order Quantities (MOQs) vary depending on:
  • Product category
  • Level of customisation
  • Branding or private labelling requirements

MOQs will be clearly communicated during the quotation stage. But in all cases MOQ would not be less than 100 pieces.

6. PRICING, TAXES & PAYMENT STRUCTURE (B2B)

Pricing

• Prices are quoted exclusive of GST unless specified otherwise.
• 30% advance payment
• Packaging, branding, and logistics costs may be charged separately ( would be informed in advance if such is the case).

Payment Terms

Standard B2B payment structure:

• 30% advance payment at the time of bulk order confirmation
• Balance payment prior to dispatch or as agreed in writing

For private label or highly customised orders, up to 100% advance payment may be required.

Delayed payments may result in production holds or delivery delays.

7. DESIGN APPROVAL & CLIENT RESPONSIBILITY

• All designs, mockups, samples, logos, and specifications must be approved by the client in writing before bulk production begins.
• Once approved, no changes can be made during production.

Kosh Club is not responsible for:

• Errors in logos or artwork provided by the client
• Spellings, colours, or dimensions approved during final confirmation

Approval signifies full acceptance of the design.

8. PRODUCTION & DELIVERY TIMELINES

• Bulk production timelines typically range between 15–45 working days, depending on order size and complexity.
• Delivery timelines are indicative and may vary due to logistics, material availability, or external factors beyond our control.

Kosh Club shall not be liable for delays caused by force majeure events.

9. QUALITY STANDARDS & ACCEPTABLE VARIATIONS

• All B2B orders are manufactured under strict in-house quality checks.
• Minor variations in colour tone, texture, or finish are acceptable in bulk manufacturing and do not qualify as defects.

10. RETURNS, REFUNDS & CANCELLATIONS (B2B)

• Customised, bulk, branded, and private-label orders are non-returnable and non-refundable once production has commenced.
• Any manufacturing defect must be reported within 48 hours of delivery, along with supporting evidence.
• Verified defects may be repaired, replaced, or credited at Kosh Club’s discretion.

Advance payments are non-refundable in case of order cancellation after confirmation.

11. INTELLECTUAL PROPERTY & CONFIDENTIALITY

• All manufacturing methods, patterns, and design developments created by Kosh Club remain our intellectual property unless agreed otherwise.
• Client logos and trademarks remain the property of the client.
• Both parties agree to maintain confidentiality of pricing, designs, and business discussions.

Kosh Club may showcase completed projects for portfolio or marketing purposes unless restricted by a signed NDA.
